2. What is Rifa Digital?

RD is an online software platform (SaaS) that enables the registration and management of fundraising projects and actions, so that Users may seek contributions for their own Campaigns and contribute to the Campaigns of others.

RD provides software services only. The platform does not organize Campaigns, does not conduct or promote prize draws, does not sell shares, does not receive, hold or transfer the amounts of the Contributions, and is not a financial institution, payment institution or securities broker. The Services do not include the offer or sale of securities.

Subscribing to the software does not grant the Organizer any authorization to conduct campaigns, prize draws or promotions. Each Organizer is solely responsible for its Campaign, for the rules and for compliance with applicable law, including obtaining the authorizations required by the competent authorities.

Optional tools. Features such as prize-winning shares, promotions, ranking, progress bar and draw information are software functionalities made available on an optional basis. Activation, configuration, the definition of prizes and the content published are decisions made exclusively by the Organizer, who is responsible for their legality. RD does not define, draw, deliver or guarantee prizes.

3. Registration, legal age and age verification

a. The User is responsible for their account. To use the Services as an Organizer, you will need to register and create an account. You must provide accurate and complete information and keep it up to date. You may not impersonate another person or violate the rights of any individual; if you do so, your account may be cancelled. You are solely responsible for the confidentiality of your account and for all activities carried out in it. If you suspect unauthorized use, notify RD immediately through the available contact channels.

b. Only persons aged 18 or over. RD’s Services are intended exclusively for persons aged 18 or over, for both Organizers and Contributors. Campaigns involving a prize draw, a game of chance or any modality in which obtaining a prize depends on luck are prohibited to children and adolescents, under Law No. 15,211/2025 (Digital Statute of Children and Adolescents – ECA Digital) and the Statute of Children and Adolescents (ECA).

c. Age verification. In compliance with Law No. 15,211/2025, RD does not accept mere self-declaration as the sole age verification mechanism. Therefore:

  • the age of Organizers and Contributors is confirmed by double verification: (i) the user’s declaration that they are 18 or over; and (ii) a second confirmation step, through a technical mechanism independent of the declaration, disclosed at the time of registration or reservation;

  • the publication of a Campaign and the reservation or Contribution, with or without account creation, are only completed after the double verification;

  • data collected for age verification is used solely for that purpose, to the extent strictly necessary, in accordance with the Privacy Policy;

  • RD may block reservations, suspend accounts and cancel Campaigns where there is evidence of participation by a minor or a failure in verification.

d. The Organizer is responsible for not directing its Campaign, its communications or its content to children and adolescents, and for all activity carried out in its account by third parties, including minors.

e. We are not responsible for any loss or damage arising from failure to comply with the obligations above or from the use of your account, with or without your knowledge, except in the cases of liability provided for by law.

f. Verified User. The User may voluntarily provide their CPF (individual taxpayer number) or CNPJ (corporate taxpayer number) to receive the “Verified User” badge, displayed on their profile and on their Campaign pages, as an additional sign of security and credibility for other users. The badge only indicates that the registration data has been confirmed and does not represent RD’s endorsement of the Campaign, its legality or the Organizer’s compliance with its obligations. Providing this data depends on specific authorization for processing, under the Privacy Policy, and may be revoked, with removal of the badge.

g. User declarations. The declarations below are made in dedicated checkboxes, with a date and time record:

  • upon account creation: the voluntary option to provide a CPF or CNPJ to receive the Verified User badge;

  • before publishing a Campaign or completing a reservation: (i) the declaration that they are 18 or over; and (ii) the declaration that all information provided is true, under their sole responsibility, as provided by law.

The declaration of legal age forms part of the double verification provided for in item c and does not replace it.

4. User obligations and creation of Campaigns

When you, as an Organizer, create a Campaign and request Contributions, you understand that you are entering into separate legal relationships with RD (subscription to the software) and with the Contributors (the Campaign itself), and that the following rules apply:

a. Follow the law and our policies. You may not take any action that violates the law, infringes the rights of third parties or breaches legal obligations. Offering Items that violate these Terms or any applicable rule is not permitted. It is your obligation to pay attention to the legality and legitimacy of the activity carried out.

b. Organizer’s declaration. When publishing a Campaign, the Organizer declares, under its sole responsibility: (i) the modality of the Campaign and, where required, the authorization of the competent authority; (ii) that it has relied on its own legal and accounting advice; (iii) that RD has not sought, does not seek and is not required to seek a decision from a regulatory authority on the regularity of its Campaign; (iv) that the Campaign is approved for all jurisdictions in which it requests Contributions.

c. Rules. The Organizer is expressly responsible for publishing the rules of its Campaign, including purpose, deadlines, method of determination of results, delivery and contact. Use of the rules template made available by the platform, where applicable, constitutes full acceptance of those rules as its own.

d. Draw. The Organizer is solely responsible for conducting any prize draw, regardless of the method, and undertakes to disclose on the Campaign page the essential details, the date and the result. RD does not conduct, monitor or certify draws.

e. Delivery. The Organizer declares that it acknowledges and accepts the obligation to deliver the Items in the quantity, model and timeframe established, and to notify Contributors immediately of any obstacles or delays. If delivery is not possible, the Organizer is responsible for refunding the Contributors.

f. Lawfulness. The Organizer and its Affiliates undertake to promote Campaigns only with products or services of lawful origin and nature, which do not violate the rights of third parties, the rights of children and adolescents or consumer rights, and whose sale is permitted. Campaigns involving medicines and controlled substances, weapons and ammunition, animals, adult content or any unlawful object are prohibited.

g. Changes. After creation, the Organizer may change data such as the title, rules, promotions and closing date, provided this is done before closing. Changes that increase the number of shares or the value per share may require payment of an additional publishing fee (Section 6). Once the shares are sold out or the draw has taken place, editing of the Campaign is locked.

h. Affiliates. The participation of Affiliates depends on the Organizer’s acceptance, and the Affiliate is subject to the same obligations under these Terms.

i. Third-party data. When using the Services, you and your Affiliates may receive personal data of other Users. This data is provided exclusively for carrying out the Campaign and may not be used for other purposes without the specific consent of the data subject. The Organizer is the controller of this data vis-à-vis the Contributors, independently of RD.

j. Respect the rights of others. It is prohibited to post false or fraudulent information; to threaten, defame or invade the privacy of any person; to distribute viruses or interfere with the operation of the platform; to obtain unauthorized access to systems or data; and to reverse engineer the Services. Conduct that harms the image of RD, of third parties or of other Users may lead to the interruption or termination of the Campaigns involved.

k. Cooperation. The User, in any profile, must cooperate with internal investigations and with requests for information about the use of the platform, including those made by authorities.

l. Tax obligations. The User is obliged to remain compliant with their tax obligations regarding the amounts they receive.

m. Publicity. The Organizer authorizes RD to mention its name, logo and a description of its Campaign in institutional materials, and may revoke this authorization at any time through the contact channels.

5. Payment methods

a. Technical integrations only. The receiving options available in the dashboard are exclusively technical integrations, via API¹. RD has no cooperation agreement, commercial partnership, representation or agency with these institutions and does not receive any split, commission, transfer or other remuneration on the amounts transacted.

b. Direct relationship between Organizer and Payment Institution. The Organizer chooses, engages and connects its own account with the Payment Institution, being subject to the terms, fees, deadlines, compliance policies and any blocks defined by it. RD does not interfere in these decisions.

c. No holding of funds. The amounts of the Contributions are paid directly into the account indicated by the Organizer. RD does not receive, hold, keep, advance or transfer these amounts, does not execute or intermediate the settlement of payments and does not carry out credit operations.

d. Automatic or manual settlement. With the integration active, the reservation is marked as paid when the Payment Institution confirms receipt. If the Organizer chooses to receive payments directly, without integration, it must confirm each receipt manually, at its own account and risk.

e. Bank details. The account provided for receiving payments is the sole responsibility of the Organizer, as is the verification of the registered data. RD is not liable for incorrect information.

f. The integrations were made available to make transactions safer and more practical, are distinct from the platform and may be changed or removed at any time. Always pay attention to the notices in the dashboard.

¹ A payment API (“Application Programming Interface”) is a digital tool that allows a payment system to be integrated into websites and applications. In simple terms, it is a secure path that connects the platform to the companies that process payments, such as PIX, cards and digital wallets.

6. Publishing fee and cancellations

a. Only payment made to RD. The only amount paid to RD is the Campaign publishing fee, charged only once to the Organizer, as consideration for the use of the software. There is no deduction, percentage or charge by RD on the amounts of the Contributions. Credits from the referral program (Section 6-A) may be used to pay this fee.

b. Calculation. The fee is set by tiers, according to the size of the Campaign, based on the estimated amount to be raised (number of shares × share value) informed by the Organizer. The proportion is justified by the technical demand placed on the platform: larger campaigns involve more shares, more simultaneous accesses, more reservations, notifications and payment confirmations processed, and more server and support capacity. The larger the campaign, the greater the technical demand and, proportionally, the higher the fee. The fee remunerates exclusively the use of the software and does not represent any participation by RD in the amounts raised by the Organizer. The fee table is available at all times on the Campaign creation screen and may be updated, with no effect on fees already paid. Expanding the Campaign may require an additional payment.

c. Payment. The fee is paid before publication; until confirmation, the Campaign remains as a draft. Fees of the chosen payment method are charged by the respective institution.

d. Improper charges by the Organizer. The Organizer is prohibited from charging Contributors any amount as a “platform fee”. If any such charge is demanded, the Campaign will be cancelled and the Organizer will be obliged to return the amounts charged.

e. Fee reversal. The cases, deadlines and method for reversal of the publishing fee are set out in Section 8.

f. Cancellation or suspension of a Campaign. Upon request, for just cause, evidence of fraud, a substantiated complaint or a violation of these Terms, RD may suspend or cancel the Campaign.

g. Return of Contributions. Since RD does not receive or hold any amounts, the return of Contributions is the responsibility of the Organizer, in accordance with Section 8.

h. Fraud. In proven cases of fraud, RD may suspend or cancel the Campaign and block the Organizer, within the limits of its powers. Support must be contacted so that we can become aware of the situation and act.

i. Invoice. The electronic invoice (nota fiscal) for the publishing fee will be made available within 30 (thirty) days of the subscription, or earlier at the Organizer’s request.

6-A. Referral program

a. What it is. The Organizer may refer new Users through the personal link available in the dashboard. When the referred person creates an account through that link and publishes a paid Campaign, the Organizer receives a credit calculated on the amount of the publishing fee actually paid to RD by the referred person, at the percentage stated in the program rules.

b. Nature of the credit. The credit is a reward for referring new customers of the software. It has no relation to the amounts of the Contributions, does not depend on luck and does not constitute participation in the results of any Campaign.

c. Use or withdrawal. The credit remains pending during the security period stated in the rules. Once released, the Organizer chooses between applying it to pay the publishing fee of a new Campaign or withdrawing it. A withdrawal may be requested when the available balance is at least R$ 50.00 (fifty reais) and requires a registered and verified CPF or CNPJ and an account held by the Organizer itself. An amount used for one of the options is no longer available for the other.

d. Cancellation of the credit. Fees that are refunded, cancelled, disputed or show evidence of fraud do not generate credit, and credit already posted may be reversed.

e. Prohibited conduct. It is prohibited to create fake accounts or accounts in the name of third parties, to refer oneself, to pay for Campaigns with no real intention of use, to promote the link as a coupon, promotion, draw or guaranteed gain, to use spam or deceptive practices, and to manipulate links, registrations or payments. A violation entitles RD to cancel credits, block withdrawals and suspend the account.

f. Program rules. The detailed rules, including percentage and deadlines, are available in the dashboard and form part of these Terms as an Additional Policy. RD may change them or terminate the program with prior notice, preserving credits already released.

g. Taxes. The Organizer is responsible for the tax treatment of the amounts it receives through the program.

7. Contributing to Campaigns

When a Contributor makes a reservation or Contribution, they understand that the following rules apply:

a. Legal age and acceptance. The reservation depends on the age verification provided for in Section 3 and on express acceptance of these Terms and of the Privacy Policy, by means of a checkbox, with a date and time record.

b. Voluntary Contributions. All Contributions are made voluntarily, at the Contributor’s discretion and risk, directly into the Organizer’s account.

c. Organizer’s responsibility. RD does not guarantee that Contributions will be used as promised, that the Items will be delivered or that the Campaign will achieve its goals, nor does it endorse the quality, safety or legality of any Campaign. Before contributing, read the rules and check who the Organizer is.

d. Communications. The Organizer may contact you to obtain necessary information, such as a delivery address. The Organizer must not request unnecessary data or sensitive information, such as card details or banking passwords. Contact us IMMEDIATELY if you receive a request that seems excessive.

e. Refunds. The rules, deadlines and method for requesting a refund are set out in Section 8.

f. Taxes. Contributors are responsible for the tax treatment of their Contributions and of the Items received.

8. Refund Policy

At RD there are two different relationships, and each has its own refund rule: (i) the publishing fee, paid by the Organizer to RD for the use of the software; and (ii) the Contributions, paid by Contributors directly to the Organizer, without passing through RD.

8.1. Publishing fee (relationship between RD and Organizer)

a. Right of withdrawal. The Organizer may withdraw from the subscription within 7 (seven) calendar days from payment of the fee, without needing to give reasons, under art. 49 of the Brazilian Consumer Protection Code (CDC). The request may be made through the dashboard or the support channels, by the same means used for the subscription, and RD will immediately confirm receipt (Decree No. 7,962/2013).

b. How it is returned. The amount paid is refunded in full, through the same payment method. For Pix, the reversal is made within 5 (five) business days; for credit cards, RD immediately notifies the card administrator so that the amount is not charged or is reversed on the statement, according to the issuer’s rules.

c. Effect on the Campaign. Withdrawal ends the publication of the Campaign. If there are already paid reservations, the Organizer must return the amounts to the Contributors, in accordance with item 8.2.

d. Service failure. If the Campaign cannot be published due to a platform failure, the Organizer may choose between re-performance of the service and a full refund of the amount paid.

e. Cancellation at RD’s initiative without fault of the Organizer. If RD terminates a Campaign for its own technical or operational reasons, without any violation of these Terms by the Organizer, the fee will be refunded in full.

f. Cancellation for violation. If the Campaign is suspended or cancelled for violation of these Terms or of the law, after the withdrawal period, the fee will not be refunded, as it corresponds to a service already rendered. If the investigation does not confirm the violation, the previous item applies.

g. Voluntary termination after 7 days. Once the withdrawal period has elapsed and there has been no service failure, the Organizer may terminate the Campaign at any time, but the fee is not refunded, since the publication has already been made available and the service has already been rendered.

8.2. Contributions (relationship between Organizer and Contributor)

a. Who refunds. RD does not receive, hold or transfer Contributions. Therefore, refunds are always made by the Organizer, who is liable to the Contributor.

b. When the Organizer must refund. The Organizer undertakes to refund the Contribution in full, within 10 (ten) calendar days, when: (i) the Campaign is cancelled or suspended, for any reason, including by decision of RD; (ii) the draw is not held or the Items are not delivered within the period set out in the rules; (iii) the Contributor withdraws within 7 (seven) days of the Contribution, provided this is before the date of the draw or determination of results; (iv) the Contributor has paid twice or an amount different from that due.

c. How to request. The request must be made to the Organizer, through the contact provided on the Campaign page. If there is no response within 5 (five) business days, the Contributor may contact RD support, which may notify the Organizer, block new reservations, suspend the Campaign and, as provided by law, provide information to the competent authorities.

d. Automatic reversal. Where the connected Payment Institution offers this function, the platform may technically trigger it upon cancellation of the Campaign, without this transferring to RD the obligation to refund.

e. Other means. The Contributor may also turn to their financial institution, including the MED (Special Return Mechanism) of Pix in case of fraud, and to consumer protection agencies.

f. After the draw. Once the draw has taken place and the Items have been delivered in accordance with the rules, there is no refund of the Contribution, without prejudice to the Contributor’s rights regarding defects in the Item, exercised against the Organizer (CDC, arts. 18 and 20).

8.3. Channels

Requests relating to the publishing fee and complaints about Organizers may be sent through the Site’s support, where they will be forwarded to the responsible department. RD will respond within 5 (five) business days.

9. Content, complaints and intellectual property

a. We do not endorse User Content. RD does not create, prepare, control, pre-screen or endorse Campaigns. Organizers are responsible for the content and information of their Campaigns.

b. Complaints. Anyone may report a Campaign through the reporting channel on the page or through the contact channels. RD will review the complaint within a reasonable time and may suspend the Campaign during the review. Removing content or closing accounts is not an action we take lightly.

c. Removal. RD may remove User Content and suspend or cancel Campaigns and accounts that violate these Terms or the law, or in compliance with a court order or a request from a competent authority.

d. RD’s property. RD’s Services, content and Trademarks are protected by intellectual property law. You agree to respect all rights and legal notices contained therein.

e. User Content. User Content remains your property. By submitting it, you grant RD a non-exclusive, royalty-free license, for the period necessary, to host, display and reproduce it in the performance of the Services.

f. To report a violation of copyright or intellectual property rights, use our contact channels.

10. Personal data and deletion

a. When registering or making a reservation, you declare that you are aware of the Privacy Policy. RD processes data such as name, e-mail, telephone, CPF or CNPJ and age verification data, on the legal bases provided for in the General Data Protection Law (LGPD – Law No. 13,709/2018), including for compliance with a legal obligation.

b. Campaign data. Once the Campaign has ended, for whatever reason, the data linked to it will remain available to the Organizer for 90 (ninety) calendar days, and may be requested by the Organizer. After this period, it is deleted from the platform, subject to the following item.

c. Requests from authorities. Regardless of the period above, RD will preserve data that is the subject of a request from a competent authority or of a court order, for the period requested.

d. Account deletion. You may request the deletion of your account through the contact channels or the dashboard. Deletion follows the periods set out in the Privacy Policy, subject to compliance with a legal obligation or an order from a competent authority, and does not release the Organizer from obligations relating to ongoing Campaigns. Provisions of these Terms which, by their nature, should remain in force survive the closure of the account.

11. Limitation of liability and indemnification

When using RD as an Organizer, Affiliate or Contributor, you are a user of a technology service. RD does not create, control, endorse or provide any Campaign and is not part of the relationship between the Organizer and the Contributors. Except in the cases of liability provided for by law, RD is not liable for damages arising from acts of Organizers, Affiliates, Contributors, Payment Institutions or other third parties.

a. Items and refunds. Organizers are solely responsible for delivering the Items, conducting draws and making refunds.

b. Advice. RD does not provide legal or tax advice to Users. Each User is responsible for verifying how the law applies to their Campaign or Contribution.

c. Disputes between Users. RD does not become involved in disputes between Users or with third parties, but will cooperate with the authorities and provide the information available to it, within the limits of the law and of its capabilities.

d. Availability. The Services may become unavailable for maintenance or due to unplanned failures. RD will use reasonable efforts to restore them.

e. Regularity of the Campaign. RD makes no representation or warranty as to the legality of any Campaign or draw. Organizers are solely responsible for all legal, regulatory and tax requirements applicable to their Campaign, including registrations, licenses and authorizations, and for the declaration of eligibility and release to the winner(s), where required.

f. Indemnification. The User agrees to indemnify and hold harmless RD, its partners, employees and representatives from claims, actions, losses, costs and attorneys’ fees arising from a violation of these Terms or of the law, including where a Campaign is prohibited, in whole or in part, by a competent authority, with RD’s right of recourse assured.

g. Accounts. RD may suspend or terminate accounts in the event of a violation of these Terms, evidence of fraud, risk to third parties or an order from an authority, informing the User whenever doing so does not prejudice investigations.

12. General provisions

a. Entire agreement. These Terms, the Privacy Policy and the Additional Policies published on the Site constitute the entire agreement between the User and RD regarding the Services. If any provision is held invalid, the remaining provisions will remain in full force and effect.

b. Language. These Terms are drafted in Portuguese, and the Portuguese version prevails over any translation.

c. Governing law. These Terms are governed by the laws of the Federative Republic of Brazil.

d. Jurisdiction. The courts of the judicial district of São Bernardo do Campo/SP are chosen to settle any matters arising from these Terms, without prejudice to the consumer’s right to bring an action in the courts of their domicile.

e. Contact. Questions, complaints and requests may be sent through the Site’s support channels.

The parties, being in agreement, hereby give their acceptance, consenting to all the clauses set out herein, as well as to the Privacy Policy and the other terms available on the RD Platform website: https://rifa.digital/.
